These Terms and Conditions (**"Terms"**) govern your access to and use of the website and services provided by **Techtt Website & App Development Agency** ("**Techtt**", "**We**", "**Us**", or "**Our**"). By accessing or using our Website or engaging our services, you agree to be bound by these Terms.
By using the Website or contracting for Services, you represent that you have read, understood, and agree to be legally bound by these Terms, as well as our **Privacy Policy**. If you do not agree to these Terms, please do not use our Website or Services.
All Services are subject to a **written Proposal** which will outline the scope of work, deliverables, timelines, and costs. Any changes or additions to the scope of work after the Proposal is accepted must be made through a formal, written **Change Request** and may result in additional fees and timeline adjustments.
The Client agrees to provide timely access to necessary information, content (text, images, logos, data), and approvals required to complete the Project. Delays caused by the Client's failure to provide required assets or feedback may result in extended timelines.
Upon completion of the Project milestones, the Client will be given a period (usually **7 business days**) to review and approve the work. Failure to communicate rejection or request revisions within this period will constitute **acceptance** of the work as complete.
Fees for Services will be as set forth in the Proposal. Techtt typically requires a **non-refundable deposit** to begin the Project, followed by milestone payments. Invoices are due and payable within **15 days** of the invoice date unless otherwise specified.
Techtt reserves the right to suspend work or withhold final delivery of files and licensing rights if invoices are not paid in full by the due date. A **late fee** or interest may be applied to overdue balances.
The Client guarantees that any text, graphics, photos, designs, trademarks, or other artwork furnished to Techtt for inclusion in the Project are **owned by the Client** or that the Client has permission to use them.
Upon **final payment** for the Project, the Client will be granted full ownership and/or a perpetual, non-exclusive, worldwide license to the completed **visual design** and the **specific content** developed for the Project.
Notwithstanding Section 5.2, the Client acknowledges that Techtt retains ownership of the underlying proprietary development tools, code libraries, frameworks, non-client-specific modules, or third-party software licenses used to develop the Project (**"Development Assets"**). Techtt grants the Client a non-exclusive license to use the Development Assets only for the operation of the delivered Project.
Techtt and the Client agree to hold each other's proprietary and confidential information in strict confidence. This includes, but is not limited to, business plans, technical specifications, data, and financial information. This obligation survives the termination of these Terms.
Techtt warrants that the functional elements of the Project will be free of material defects for a period of **60 days** after Project completion. This warranty does not cover issues arising from:
In no event shall Techtt be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or use, incurred by the Client or any third party, whether in an action in contract or tort, arising from your access to or use of our Services or Website. Techtt's total aggregate liability under these Terms shall not exceed the **total amount paid by the Client to Techtt** for the specific Project in question.
Techtt reserves the right to terminate Services immediately if the Client fails to adhere to the payment schedule or breaches any of these Terms.
These Terms shall be governed by and construed in accordance with the laws of **India**, and specifically the jurisdiction of **Muzaffar Nagar, Uttar Pradesh**.
These Terms, along with any executed Proposal, constitute the entire agreement between the parties concerning the subject matter hereof and supersede all prior understandings and agreements.
